Web Development Terms & Conditions

1. Agreement

  • You confirm that you are authorised to enter into this agreement on behalf of yourself, your company, or your organisation.

  • You agree to provide all required assets and information in the requested formats and within agreed timeframes.

  • You commit to timely feedback, approvals, and adherence to all agreed deadlines.

  • You accept the payment terms set out in these Terms & Conditions.

We commit to delivering the services professionally and on time, and we will maintain the confidentiality of all materials and information you provide.


2. Scope of Work

We offer two approaches to building your website, depending on your preference and budget:

a) Custom Design

We will design your website from scratch, tailored to your brand and specific requirements. This includes:

  • Unique page layouts designed specifically for your business

  • Custom typography, colour palette, and visual style

  • Bespoke user interface elements to support your content and features

  • Close collaboration with you throughout the design phase, including up to two rounds of revisions

b) Professionally Designed Template

We will build your website using a high-quality, professionally designed template, customised to reflect your branding and content. This includes:

  • Applying your preferred colours, fonts, and logo

  • Rearranging or removing pre-built sections as needed (within the design’s structure)

  • Uploading your provided content (text, images, videos, etc.)

  • Minor visual adjustments using CSS and light coding as needed

In both cases:

  • We will share progress via a staging site and maintain regular contact throughout the project.

  • You will have the opportunity to review each stage and provide feedback.

  • The site will only go live once you have reviewed and approved it in full.


3. Content Responsibility

Unless agreed otherwise, you are responsible for supplying all website content, including text, images, and videos.


4. Media Requirements

Photographs should be provided in high-resolution JPG format (minimum width: 1800px) unless agreed otherwise.


5. Platform & Integrations

  • The website will be built using WordPress.

To build your website we may use premium/paid subscription versions of plugins and/or theme, the subscriptions for which need to be kept current in order for them to keep receiving feature/security updates. We will cover these annual costs with our Agency subscriptions which means no extra cost to you during the development of the website or the near future. However, should our Agency subscriptions terminate at some point in the future, you will need to cover the annual cost of these plugins and/or theme in order to keep receiving updates.

In the event of termination of any/all our agency subscriptions, we will give you at least 1 month’s notice so you can take appropriate action.


6. Browser & Device Testing

We will test your website on current versions of major desktop browsers (Safari, Chrome, Edge, Firefox, Opera) and mobile browsers (iOS Safari/Chrome and Android Chrome). Other browsers or older versions can be tested at additional cost if requested.


7. Communication

We include a reasonable allowance for communication and meetings. If this exceeds what was estimated, we’ll notify you and any additional time will be charged at £40/hour—only after your approval.


8. 30-Day Warranty

We will correct any bugs arising from development for 30 days after launch, excluding issues caused by:

  • Client-side content or modifications,
  • External factors beyond our control.


9. Hosting & Maintenance (Optional)

We offer separate hosting and maintenance packages which include security scans, regular backups, updates, and emergency recovery. These services are quoted separately.


10. Training

We will provide:

  • A walkthrough of your website.

  • Video tutorials for key features.

  • Optional training sessions via Zoom/Skype (quoted separately if requested).


11. SEO Setup

Basic on-page SEO is included:

  • Yoast SEO setup

  • Page title structure

  • Sitemap creation

  • Google Search Console submission

  • Meta descriptions for key pages


12. Design & Scope Revisions

For projects that include custom design – quoted work includes two rounds of design revisions.
Additional changes, including feature requests or further design edits, will be estimated and billed separately upon your approval.


13. Liability

We will deliver work using accepted professional standards. However, we do not guarantee error-free results and are not liable for:

  • Lost profits, savings, or business interruptions,

  • Consequential damages.

Your total liability to us is limited to the fees paid under this agreement.


14. Confidentiality

We will not share or disclose your confidential information, including data from third-party systems, without your written consent.


15. Intellectual Property

  • You confirm that all content you provide (text, images, media) is either owned by you or you have permission to use it.

  • We confirm that any materials we provide are properly licensed or owned by us.

Upon full payment, you will own:

  • The developed website and its visual components,

  • All source and final files provided to you.

We retain ownership of any proprietary methods, tools, or code developed independently of this project but grant you an exclusive licence to use them within your site.


16. Portfolio Use

We reserve the right to display the final website in our portfolio, marketing materials, or case studies, unless otherwise agreed in writing.


17. Payment Terms

  • Invoices are payable within 7 days via BACS, card, or SWIFT.

  • All amounts are quoted in GBP.

  • You are responsible for any international transfer fees.

  • We reserve the right to charge 4% annual interest above the NatWest base rate on overdue payments.


18. Termination

Either party may terminate this agreement with 10 days’ written notice. If terminated early, you agree to pay for all work completed up to that point and any incurred expenses.


19. Subcontractors

We may use subcontractors to assist with the project but remain fully responsible for all work.


20. Legal & Jurisdiction

  • This agreement is governed by the laws of England and Wales.

  • If any provision is deemed unenforceable, the rest remains in full force.

  • Neither party may transfer this agreement without the other’s written consent.


21. Credit Attribution

We may include a discreet credit on your site (e.g., “Developed by Ace Web Studio”) with placement to be agreed upon.
